Note feeder funds are investment vehicles established as part of an existing fund structure to repackage exposure to a private capital strategy in note form. Increasingly, these notes are rated by credit rating agencies, which can widen the pool of eligible investors to include institutions with mandates restricted to rated instruments.
The rating process itself introduces a further layer of structuring discipline. Rating agencies will typically require detailed information on the underlying strategy, portfolio construction and liquidity terms, and the resulting documentation needs to satisfy both the rating agency's methodology and the sponsor's commercial objectives. Getting the balance right between transparency and commercial flexibility is one of the more delicate aspects of establishing a rated note feeder.
Sponsors considering this route should engage rating agency advisers early in the structuring process, alongside legal counsel, to avoid late-stage renegotiation of commercial terms that were agreed before the rating requirements were fully understood.
