Thornhill's New York M&A team advises on private and public transactions for corporate and private capital clients, working closely with our London and Hong Kong offices on cross-border deals.
About the Role
We are looking for a Paralegal to support our New York M&A team on a range of private and public transactions. This role is well suited either to a candidate considering a future legal career who wants meaningful exposure to live deal work before applying to law school, or to an experienced paralegal seeking more substantial responsibility than a purely administrative support role. You will work closely with associates and partners on active matters, with real opportunities to take ownership of discrete pieces of transaction execution.
Responsibilities
Support due diligence review, including organising and analysing data room materials across multiple transactions
Assist with drafting ancillary transaction documents, disclosure schedules and closing checklists
Coordinate signing and closing logistics across multiple parties, advisers and time zones
Conduct corporate and regulatory research in support of live matters, including corporate filings and public company disclosure searches
Maintain accurate and well-organised matter files and documentation throughout the life of a transaction
Support the preparation of client-facing materials, including transaction summaries and closing sets
Assist associates with day-to-day matter administration, including billing narratives and time recording support
Requirements
Bachelor's degree required; a paralegal certificate or equivalent qualification is an advantage but not essential
1–3 years' experience in a corporate or M&A paralegal role, ideally at a law firm or in an in-house transactional environment
Excellent organisational skills and close attention to detail, particularly under the time pressure typical of live transactions
Strong written and verbal communication skills, with the ability to interact professionally with clients and external advisers
Proficiency with standard document management and data room platforms
